1. Introduction
Welcome to the prediction market platform operated by Galactic Media Management Ltd. (“GMM,” “we,” “us,” or “our”), under licence from the Authentic Brands Group LLC, the owner of the Sports Illustrated brand (“SI”). These Terms & Conditions (“Terms” or “Agreement”) govern your (“you,” “your” or “User”) use of and access to GMM’s website(s), user interface and related functions, decentralised applications, and related services (collectively, the “Platform”).
Please carefully read the Terms in their entirety, including all documents incorporated by reference. By accessing or using the Platform and/or the Services (as defined below), you acknowledge that you have read, understood, and agree to be bound by these Terms and all other policies herein incorporated by reference, and that such Terms and policies are binding and enforceable against you.
IMPORTANT: Please note that these Terms and Conditions contain an arbitration agreement and class action waiver. You and GMM mutually agree that any dispute, claim, or controversy will be resolved through binding, individual arbitration—and not in court or through a class action lawsuit or class-wide arbitration.
2. The Services
The Platform is an prediction markets platform that hosts markets used to predict the outcome of real-world events and enables you to enter into, or participate on event-based contracts (for example, contracts related to future sporting events, celebrity appearances, or other outcomes) on the Truth Network, an Aventus “appchain” within the Polkadot ecosystem (the “Service” or “Services”). These Services may include, but are not limited to, facilitating User funding through fiat-to-crypto conversion via a third-party service provider, facilitating withdrawals of funds from the Platform and facilitating the purchase and sale of assets on the Platform. The Platform is designed to be non-custodial and requires a User to register for an account through a third-party service provider. A User will be able to connect a compatible digital wallet to interact with the blockchain directly once the registration process is complete.
3. Fees & Payment
Use of the Platform and the Services may result in fees (as described below, and collectively, the “Fees”) incurred by the User. Such Fees may include, but are not limited to:
- Trade Execution Fee: 0.3% on each completed trade (“Trade Fee”), which is distributed to liquidity providers / market makers.
- Winning Settlement Fee: 5% on any net winnings paid out upon market resolution (“Winning Fee”).
- On-Ramp & Bridging Fees: Standard MoonPay fees apply for fiat on-ramping/off-ramping. Bridging tokens (e.g., between Ethereum and Polkadot) may incur separate network or bridging fees, which are your responsibility.
- Truth Network fees: 1% of every transaction on the Truth network subject to a minimum fee of $0.10 and capped at $0.50 depending on the transaction value
Fees may add to losses and/or reduce earnings. You are responsible for reading, understanding and accepting the terms of the Services (including those of MoonPay and Privy) prior to trading. Furthermore, you acknowledge and agree that you are solely responsible for paying any Fees incurred by use of the Platform and/or the Services and for any fees charged by any third-party service providers.
GMM reserves the right to update the Fees from time to time. Any material changes will be updated in these Terms & Conditions, and communicated to you via email. Continued use of the Platform and the Services constitutes your agreement to and acceptance of the revised Fees.
GMM may, from time to time, offer specific programs designed to drive User engagement. Any such program shall be separately governed by specific and narrowly-tailored terms and conditions. These Terms are not intended to apply to any such ancillary program, nor are these Terms meant to incorporate any other terms and conditions listed anywhere else on the Platform, except as specified herein.
4. Registration & Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Platform. You represent and warrant that you have full legal capacity to accept these Terms.
5. Risk Disclosure
Participation in event-based contracts carries significant risk, including the risk of total loss. Additionally, there are various risks inherent in the use of blockchain and smart contract technologies. Such risks include, but are not limited to:
- Technical failures which may cause the Platform, its underlying blockchains or software upon which the Platform and/or Services depend to fail to function as intended;
- Loss of funds due to transaction irreversibility, including transactions initiated by a User which rely on subsequent automated processes (e.g., bridging, transfer or receipt of funds, or wallet delegation); and
- Malicious acts of third parties.
The regulatory environment surrounding event contract markets is unestablished, highly uncertain and subject to change. GMM does not represent that these contracts comply with the laws of your jurisdiction, the United States Commodity Exchange Act or other United States federal or state laws. Future regulatory developments could result in temporary or permanent changes to the Platform’s functionality and availability of the Services.
By using the Platform and/or the Services, you acknowledge that you understand and assume these risks.
6. User Acknowledgment; Suspension
By using the Platform and/or the Services, you acknowledge and agree that:
- GMM is not a bank or financial institution and does not provide investment, tax, legal payment or financial or other advice of any kind to Users.
- All information on the Platform (e.g., prices, analytics, predictions) is provided “as is” and does not constitute financial or investment advice, and all references to sporting events or outcomes are for informational or entertainment purposes only.
- You have no right to a refund, cancellation or return of the funds used to fund your use of the Platform and/or Services, including withdrawal of deposited or earned funds, except as required by applicable law.
- The Platform and the Services may from time to time rely on third-party service providers to facilitate their operation and functionality. You are bound by and will comply with any and all terms and policies of any third-party service provider and are solely responsible for any fees or charges of any third-party service provider.
- You are responsible for all activity under your credentials. You will maintain the security information of any credentials you create, and will promptly notify GMM of any unauthorised access of your credentials.
- GMM is not responsible for any initial or ongoing identity verification (KYC) but may require you to verify your details if prompted by suspicious activity and/or required by law. You agree that you will provide such information as may be reasonably requested by GMM in order to verify your qualifications as a User.
- GMM never holds, controls or is responsible for any User’s digital wallet private keys.
- A regulator, including the United States Commodity Futures Trading Commission, may determine that certain features of the Platform and/or the Services are unlawful. If you choose to access the Platform and/or the Services, you are solely responsible for compliance with the laws of your jurisdiction.
- The Platform and the Services are launched on behalf of SI under licence; however, your contractual relationship is solely with GMM. SI, its affiliates, and related entities are not parties to these Terms and disclaim all liability arising from your use of the Platform and/or the Service.
- All text, graphics, user interfaces, trademarks, logos, artwork, and computer code on the Platform (“Content”) is owned or licensed by GMM (or SI, or other licensors) and is protected by intellectual property laws.
By using the Platform and/or the Services, you agree that you will not:
- Violate any applicable law or regulation including, but not limited to, fraud, anti-money laundering (AML) or combatting terrorist financing (CTF) provisions.
- Use the Platform in jurisdictions where event-based contracts or blockchain services are prohibited or restricted.
- Circumvent any geoblocking or other technical measures restricting your access to the Platform or the Services.
- Attempt to manipulate or disrupt markets (e.g., spoofing, wash trading, colluding to fix prices).
- Spread malware, viruses, or harmful code that could compromise the Platform, the Services or other Users’ wallets.
- Infringe upon any third-party rights, including intellectual property rights, or harass or defraud any individual or entity.
GMM may suspend, restrict, or terminate your access to the Platform and/or the Services at any time without notice if it reasonably believes:
- You have violated these Terms, any of the other policies herein incorporated by reference or applicable laws;
- Your use of the Platform contravenes our user safeguarding obligations
- Your use of the Platform or the Services creates risk or legal exposure for GMM or other Users; or
- The provision of the Services or operation of the Platform is no longer viable under commercial or regulatory circumstances.
Upon termination, your right to use the Platform and the Services immediately ceases.
7. Disclaimers, Limitation of Liability & Indemnification
To the fullest extent permitted by law, the Platform is provided “as is” and “as available,” without warranties or guarantees of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement. GMM does not guarantee successful, profitable, or error-free outcomes for any event-based contracts. Market data (e.g., prices or oracles) may be delayed or inaccurate. Furthermore, GMM, SI, their affiliates, officers, directors, employees, or agents will not be liable for any indirect, special, consequential, incidental, punitive, or exemplary damages, nor for lost profits or lost data.
You agree to indemnify, defend, and hold harmless GMM, SI, and their respective officers, directors, agents, and employees from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms or violation of any law or regulation;
- Your use of the Platform and/or the Services or any smart contracts in a manner not authorised by these Terms; and
- Your violation of any third-party right, including intellectual property or privacy rights.
9. Governing Law & Arbitration
Governing Law
These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of Scotland.
Arbitration in London
Any dispute, controversy, or claim (including non-contractual disputes or claims) arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be finally settled by arbitration administered by the London Court of International Arbitration (LCIA) (or a similar reputable arbitral institution) in London, in accordance with its Rules. The language of arbitration shall be English.
10. Data Protection & Privacy
We handle personal data in accordance with our Privacy Policy, which describes how we collect, use, store, and disclose data and your rights under applicable data protection laws. By using our Platform, you consent to such processing.
- Data Minimisation: We aim to minimise personal data collected, particularly given the non-custodial nature of the Platform.
- Third-Party Processors: On-ramp services (see MoonPay policies) or analytics providers may process personal data user their own terms. We are not responsible for their data handling practices. Please view our Cookies Policy for more information.
11. Limited Licence
GMM grants each User a limited, non-exclusive, revocable, non-transferable licence to access and use the Platform strictly in accordance with these Terms. You may not reproduce, distribute, modify, or otherwise exploit our Content without prior written consent.
12. Changes to These Terms
GMM may update or modify these Terms from time to time. Modifications will be posted on the Platform and/or communicated via email. By continuing to use the Platform and the Services after any modifications become effective, you agree to be bound by the updated Terms.
13. Miscellaneous
1. Entire Agreement: These Terms and all policies and agreements incorporated by reference herein constitute the entire agreement between you and GMM regarding the Platform and the Services.
2. Severability: If any provision is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
3. No Waiver: Our failure to enforce any right under these Terms does not constitute a waiver of that right or any other right.
4. No Third-Party Rights: Except for SI (where disclaimers or indemnities expressly refer to it), a person who is not a party to these Terms has no right under the laws of any jurisdiction to enforce any term herein.
